Terms and Conditions of Use

These terms govern access to and use of DataVault, operated by Reconnaissance International Limited.

DataVault

1. Introduction and Acceptance

These Terms and Conditions (the "Terms") govern access to and use of DataVault, a specialist research platform operated by Reconnaissance International Limited ("Reconnaissance", "we", "us", "our") providing structured reference data on the world's banknotes and circulating coins.

By subscribing to, accessing or using DataVault, the subscribing organisation (the "Subscriber") and each of its Authorised Users agree to be bound by these Terms. If the Subscriber does not agree to these Terms, it must not access or use DataVault.

These Terms should be read together with the Subscriber's order confirmation, which specifies the module(s) subscribed to (Banknote, Coin, or Bundle), the subscription plan (Basic, Premium or Enterprise), the billing cycle and the applicable fees.

2. Definitions

"DataVault"
means the online research platform operated at datavault.reconnaissance.net, comprising the DataVault Banknote module, the DataVault Coin module, the DataVault Cash preview module, the Supplier Directory, and such further modules and features as Reconnaissance may make available from time to time.
"Module"
means an individually subscribable component of DataVault, currently DataVault Banknote and DataVault Coin (available separately or as a Bundle). The DataVault Cash preview and the Supplier Directory are made available free of charge and are not Modules for the purposes of fee and user-count provisions, but the usage restrictions in Sections 4 and 5 apply to all Content equally.
"Plan"
means the subscription plan selected by the Subscriber, being Basic, Premium or Enterprise as set out on the DataVault pricing page and reflected in the Subscriber's order confirmation.
"Authorised User"
means a named individual employed or directly engaged by the Subscriber who has been issued with login credentials for DataVault, within the user limit of the Plan: one (1) user for Basic, up to five (5) users for Premium, and unlimited users within the Subscriber's organisation for Enterprise.
"Content"
means all data, records, specifications, security feature profiles, material compositions, images, charts, commentary and other materials made available through DataVault, whether viewed on-screen, exported, downloaded, printed or otherwise extracted.
"Export"
means any output generated by DataVault's export functions, in whatever format, whether excluding or including security feature detail as permitted by the Subscriber's Plan.
"Derived Output"
means any report, presentation, briefing, benchmark study, analysis or other document produced by the Subscriber that incorporates, summarises, references or is otherwise based on Content or an Export.
"Subsidiary"
means any entity that is controlled by, controls, or is under common control with the Subscriber, where "control" means direct or indirect ownership of more than 50% of the voting equity or the power to direct management.
"Partner Agency"
means a third-party organisation (including government bodies, central banks, law enforcement agencies and inter-governmental bodies) with which the Subscriber has an established working relationship and to which the Subscriber routinely provides analytical output as part of its official functions.

3. Subscription, Plans and Access

3.1 Grant of Access

Subject to payment of the applicable fees and to compliance with these Terms, Reconnaissance grants the Subscriber a non-exclusive, non-transferable, non-sublicensable right, during the subscription term, to access DataVault and to use the Content for the Subscriber's internal business purposes, limited to the Module(s) and Plan set out in the order confirmation.

3.2 Plan Limits and User Seats

Access to DataVault is limited by the Subscriber's Plan:

  • Basic — one (1) Authorised User. Export excludes detailed security feature information.
  • Premium — up to five (5) Authorised Users. Export excludes detailed security feature information.
  • Enterprise — unlimited Authorised Users within the Subscriber's organisation. Export includes full security feature information. Annual billing only.

Reconnaissance may update the scope and feature set of each Plan from time to time; any changes will apply from the start of the Subscriber's next renewal term unless otherwise agreed.

3.3 Credentials and Session Controls

Login credentials are personal to each Authorised User and must not be shared. DataVault enforces session controls designed to prevent credential-sharing. Persistent or systematic sharing of credentials, or other circumvention of user-count limits, constitutes a material breach of these Terms and may result in suspension of access without refund.

3.4 Subsidiaries

Unless otherwise agreed in writing, Authorised Users may be drawn from the Subscriber and its Subsidiaries, provided that all such users are counted against the Plan's seat allocation (where applicable) and that the Subscriber remains fully responsible for compliance with these Terms by those Subsidiaries. This provision does not, by itself, permit sharing of Content or Derived Output outside the Subscriber group — see Section 4.

3.5 Organisation Validation

Given the sensitive nature of Content, all subscriptions are subject to organisation validation. Reconnaissance may request supporting information and reserves the right to decline or cancel a subscription where validation is unsuccessful. Where a subscription is cancelled for this reason, a full refund of fees paid will be issued.

3.6 Guest and Free Access

Reconnaissance offers limited guest access to DataVault covering a subset of countries without requiring a subscription, together with free access to the Supplier Directory and the DataVault Cash preview. Use of these free-access features is subject to these Terms, with the exception of provisions relating specifically to fees, user limits and paid Plans.

4. Permitted Use of Content

4.1 Internal Use

The Subscriber and its Authorised Users may view, search, filter, download, export and print Content for the Subscriber's internal business purposes, including research and benchmarking, product development, procurement, regulatory compliance, counterfeit investigation, academic study and the production of Derived Output for internal decision-making.

4.2 Derived Output

The Subscriber may incorporate Content into Derived Output, provided that:

  • The Derived Output does not reproduce the Content, or an Export, in its original form or in substantial portions, but rather presents analysis, commentary, excerpts or selected data points that are materially transformed, contextualised or interpreted;
  • DataVault is credited as the source. A suggested form of attribution is: "Source: DataVault, Reconnaissance International", or equivalent wording that clearly identifies DataVault as the origin of the data;
  • The Derived Output is not itself sold, licensed or otherwise commercially exploited as a data product, and its distribution is incidental to the Subscriber's own business activities rather than constituting resale of the Content.

4.3 Sharing within the Subscriber Group

The Subscriber may share Content, Exports and Derived Output freely within its own organisation and with its Subsidiaries, provided that such use remains within the scope of internal business purposes and that the Subscriber remains responsible for compliance with these Terms.

4.4 Sharing Derived Output with Partner Agencies

The Subscriber may share Derived Output with Partner Agencies, subject to the following conditions:

  • Login access to DataVault itself remains strictly restricted to the Subscriber's Authorised Users and may not, under any Plan, be extended to Partner Agencies;
  • Materials shared with Partner Agencies must take the form of Derived Output (reports, briefings, analyses, presentations), rather than bulk reproduction or onward distribution of Exports or the underlying Content database;
  • DataVault is credited as the source in all such Derived Output, in accordance with Sections 4.2 and 7;
  • The Subscriber shall take reasonable steps to ensure that Partner Agencies do not further distribute the Derived Output for commercial gain or to the general public, and shall remain responsible for any breach of these Terms resulting from such sharing.

For the avoidance of doubt, this Section 4.4 does not permit the onward provision of raw Exports, bulk datasets, or the DataVault interface itself to Partner Agencies; only Derived Output is contemplated.

4.5 Security Feature Information (Enterprise Plan)

Where the Subscriber's Plan includes Exports containing detailed security feature information, the Subscriber acknowledges the heightened sensitivity of such information and shall take appropriate steps to protect it, including restricting internal circulation to personnel with a legitimate need-to-know. Detailed security feature information must not be included verbatim in any Derived Output made available to Partner Agencies or any third party without Reconnaissance's prior written consent.

5. Prohibited Use

The Subscriber and its Authorised Users shall not, and shall not permit any third party to:

  • Resell, sublicense, rent, lease, lend or otherwise commercially distribute the Content or any Export, in whole or in substantial part, in any form;
  • Incorporate the Content or Exports into any product, service or database that is offered to third parties on a commercial, subscription or fee-paying basis;
  • Reproduce the Content or Exports verbatim or in substantial portions in any public-facing publication, whether print, digital or broadcast, without Reconnaissance's prior written consent;
  • Remove, obscure or alter any copyright notice, source attribution, watermark or other proprietary marking contained within the Content or Exports;
  • Use automated means (including scraping, crawling, systematic downloading, or use of DataVault through unauthorised interfaces) to extract Content beyond what is reasonable for normal interactive use, or to build a competing product or data service;
  • Share login credentials, or permit access by any person other than an Authorised User within the limits of the applicable Plan;
  • Use the Content in any manner that is unlawful, misleading, or that infringes the rights of Reconnaissance or any third party.

6. Intellectual Property

All Content, Exports and DataVault itself (including the underlying database structure, interface, branding and documentation) are the property of Reconnaissance International or its licensors and are protected by copyright, database rights and other intellectual property laws. No rights are granted to the Subscriber other than the limited right of use expressly set out in these Terms. All rights not expressly granted are reserved.

The Subscriber retains ownership of any Derived Output it creates, subject to Reconnaissance's underlying rights in the Content used to produce it. The creation of Derived Output does not transfer any ownership rights in the Content itself.

7. Attribution and Source Credit

Where Content is quoted, referenced, summarised, charted or otherwise used in Derived Output, DataVault must be credited as the source. Acceptable forms of attribution include:

  • "Source: DataVault, Reconnaissance International"
  • "Data supplied by DataVault (Reconnaissance International)"
  • "© Reconnaissance International / DataVault" (for chart and figure captions)

Attribution should appear in a location that a reasonable reader would associate with the data, such as a chart caption, footnote, endnote or sources section of the Derived Output.

8. Data Accuracy and Warranties

Reconnaissance takes reasonable care to ensure that the Content is accurate, current and sourced from reliable industry, governmental and institutional channels, and the database is updated monthly to reflect new issuances and status changes. However, the Content is provided on an "as is" basis and is intended as a reference and intelligence resource, not a substitute for the Subscriber's own due diligence, independent verification or professional judgement.

The DataVault Cash preview module is provided as a free prototype and is subject to more significant data gaps, restatements and changes in scope than the paid Modules. The Subscriber acknowledges this status in making any use of DataVault Cash content.

To the fullest extent permitted by applicable law, Reconnaissance disclaims all implied warranties of merchantability, fitness for a particular purpose and non-infringement. Reconnaissance does not warrant that the Content will be error-free, complete or uninterrupted.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Reconnaissance's total aggregate liability to the Subscriber arising out of or in connection with these Terms, whether in contract, tort (including negligence) or otherwise, shall not exceed the fees paid by the Subscriber to Reconnaissance in the twelve (12) months preceding the event giving rise to the claim.

Reconnaissance shall not be liable for any indirect, incidental, consequential, special or punitive damages, including loss of profits, loss of business, loss of data, or loss of goodwill, howsoever arising.

Nothing in these Terms limits or excludes liability for fraud, fraudulent misrepresentation, or any other liability that cannot lawfully be limited or excluded.

10. Confidentiality

The Subscriber acknowledges that the Content, and in particular detailed security feature information accessible under the Enterprise Plan, constitutes confidential information of Reconnaissance and its licensors. The Subscriber shall treat such information with at least the same degree of care as it applies to its own confidential information of a similar nature, and in no event less than a reasonable standard of care.

11. Term and Termination

These Terms apply for the duration of the subscription term set out in the order confirmation and any renewals thereof. Either party may terminate the subscription in the event of a material breach by the other party that remains uncured for thirty (30) days after written notice.

Reconnaissance may suspend access immediately, without refund, if it reasonably believes that the Subscriber has materially breached Sections 4 (Permitted Use), 5 (Prohibited Use), 4.5 (Security Feature Information) or 7 (Attribution). On termination, the Subscriber shall cease all use of the Content and Exports, although Derived Output produced in good faith before termination may continue to be used, provided that attribution obligations under Section 7 remain in force.

12. Changes to these Terms

Reconnaissance may update these Terms from time to time to reflect changes in functionality, legal requirements or commercial practice. Material changes will be notified to the Subscriber in writing or via the DataVault interface at least thirty (30) days before taking effect. Continued use of DataVault after the effective date of updated Terms constitutes acceptance of those Terms.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales in respect of any dispute arising out of or in connection with these Terms, save that Reconnaissance reserves the right to bring proceedings in any other jurisdiction where necessary to protect its intellectual property rights.
